Qpid Network Terms of Service  
Qpid Network (the "Network") welcomes you. Qpid Network provides you with access to rich collection of resources, including without limitation various communication tools, products, content, software, forums, services through its network of web sites (collectively "Services"). Your use of the Services is subject to the terms of a legal agreement between you and Qpid Network. Please read this Terms of Service (the "Terms") carefully.


  1. Acceptance of Terms

    1.1  When using particular Qpid Network owned or operated services, you and Qpid Network shall be subject to any posted guidelines or rules applicable to such services, which may be posted and modified from time to time. All such guidelines or rules are hereby incorporated by reference into this document.

    1.2  You can accept the Terms by clicking to accept or agree to the Terms, where this option is made available to you by Qpid Network in the user interface or any Service; or by actually using the Services. In this case, you understand and agree that Qpid Network will treat your use of the Services as acceptance of the Terms from that point onwards.

    1.3  You may not use the Services and may not accept the Terms if you are not of legal age to form a binding contract with Qpid Network, or you are a person barred from using the Services where prohibited.

    1.4  You agree to be bound by the Terms for as long as you continue to be a Member (the "Member") of any of the Qpid Network Sites (the "Sites"). If you do not agree to this Terms, please do not register any of the Sites or otherwise access or use any of the Sites.

    1.5  In addition to this Terms, your agreement with Qpid Network will also include "Additional Terms" which are the terms of any Legal Notices applicable to the Services. Together with this Terms, a legally binding agreement between you and Qpid Network in relation to your use of the Services is formed. It is important that you take time to read them carefully.

    1.6  If there is any contradiction between what the Additional Terms say and what this Terms say, then the Additional Terms shall take precedence in relation to that Service.

  2. Provision of the Services by Qpid Network

    2.1  You acknowledge and agree that Qpid Network provide Services to members through any of the Sites. Each Site is managed and operated independently. You acknowledge and agree that the form and nature of the Services which Qpid Network provides may change from time to time without giving prior notice.

    2.2  Access to Qpid Network Services requires completion of a simple registration process in order to obtain a Qpid Network Account (the "Account") and password necessary to become a member to enjoy the Service. The Account will be identified as for your access to any Qpid Network Services.

    2.3  Qpid Network has subsidiaries and affiliated legal entities around the world ("Subsidiaries and Affiliates"). Sometimes, these companies will provide the Services to Members on behalf of Qpid Network itself. You acknowledge and agree that Subsidiaries and Affiliates will be entitled to provide the Services to you.

    2.4  You acknowledge and agree that Qpid Network may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to members generally at Qpid Network’s sole discretion, without prior notice to you. You may stop using the Services any time at your sole discretion.

  3. Registration and Termination

    3.1  Access to Qpid Network Services requires completion of a simple registration process in order to obtain a Qpid Network Account and password. You may obtain the Account through successful completion of membership registration on any Qpid Network Sites, provided that there is no breach of the existing or related agreement of terms of use.

    3.2  In general, you will be given the opportunity to register via the member settings area to activate membership that may allow you to receive any services from Qpid Network Sites and/or to participate in certain features of any Qpid Network Site.

    3.3  You must provide complete and accurate information about yourself, and notify us to keep this information up to date.

    3.4  The Qpid Network Account may offer you the opportunity to obtain further Qpid Network Services which become associated with your Qpid Network Account. Therefore, we encourage you to tell us what your membership preferences are for your registration of Qpid Network Sites.

    3.5  We may immediately terminate your membership and your access to the Service if you are found in breach of this Terms. We reserve the right to take further action for the loss or the potential loss on our end and the members when necessary due to your breach of this Terms, in our sole discretion. You will not be entitled to any refund of any used and/or unused fees upon any breach of this Terms by you.

    3.6  You may terminate your membership of any Qpid Network Site at any time, for any reason, effective upon receipt by us of your written or email notice of termination. All the fees paid are nonrefundable unless with the reasons deemed acceptable.

    3.7  Save as otherwise expressly provided in any additional terms governing the use of specific Qpid Network Services, we do not charge you for joining any Qpid Network Site as member , and as a consequence, we may cancel or suspend use of the Service at any time, without cause and without notice.

    3.8  Your right to use the Service and your Qpid Network Account may end once your account is terminated and any data you have stored on any Qpid Network Site may no longer be available to you. It is therefore important you maintain your own archive copies of any data that is valuable to you.

    3.9  If you have subscribed to any other products or services for which payment is necessary, you remain responsible for paying any amounts owed on your account at the time your account is terminated. If you are participating in any free promotional offer for accessing other Qpid Network Services you must cancel such Services before the end of the free trial period to avoid incurring charges.

    3.10  When you terminate your membership of any Qpid Network Site, your profile will be removed from public view on our system while Qpid Network may still retain the Account. Should you wish to reinstate your profile within one year of deletion, you may do so by signing in the Account and reactivate the use of the Service. However, we do not guarantee that your previous correspondence sent through the Site may not be archived nor stored on file.

    3.11  If you are a member of Qpid Network Sites access and the membership at any one of the Qpid Network Sites is suspended, cancelled or terminated for breach of its terms and conditions of service, Qpid Network reserves the right to suspend, cancel or terminate any or all associated Qpid Network Services memberships you may have, at any time, without notice.

  4. Member Account, Password and Security

    You will receive a password and account designation upon completing the Qpid Network Service's registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Qpid Network of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. Qpid Network cannot and will not be liable for any loss or damage arising from your failure to comply with this rule.

  5. Privacy and your personal information

    Registration data and certain other information about you are subject to our applicable privacy policy. For more information, see the full Qpid Network Privacy Policy here. You understand that through your use of the Qpid Network Services you consent to the collection and use (as set forth in the applicable privacy policy) of this information, including the processing and use by Qpid Network Sites and its affiliates.

  6. About Credits and Payment

    6.1  You need to pay to use certain Services. Qpid Network allows you to purchase Qpid Network Credit ("Qpid Credit" or the "Credit") allocated to your Qpid Network Account.

    6.2  To purchase payable Services you need a sufficient balance of Qpid Network Credit. Payments for certain Services must be made by credit or debit card or other means which may be made available where Qpid Credit is not an accepted method of payment.

    6.3  Qpid Credit can be used for 180 days from the date of purchase. Credit older than 180 days old in the Account will become expired. Payment for Credit purchase is non-refundable. Fees charged for one Service may not be credited towards other services.

    6.4  Price of the Credit is subject to change at all times, without any notice to you. To get the current price for each Credit please go to the certain account settings area. The new price will apply to your next purchase of Credit after the adjustments have been published on the Qpid Network account settings area. You agree that by continuing to purchase and/or use the Services following the adjustments of the price, you accept the new price.

    6.5  You shall pay Qpid Network any applicable charges as stated on the certain account settings area in connection with the purchase and use of the Qpid Credit or other payable Services.

    6.6  If there is no Credit stored in the Account, you will be subject to the limitations of the Services unless you elect to top up Credit balance in the Account. For certain payable Services where Qpid Credit is not an accepted method of payment, Services become limited or unavailable to you if you have not committed to the required transaction.

    6.7  In the event you believe that Qpid Network has charged you in error, you must contact Qpid Network within 90 days after such charge. No refunds will be given for any error charges which are more than 90 days old.

    6.8  Qpid Network reserves the right to stop accepting debit or credit cards from one or more issuers.


  7. Using of the Services

    7.1  You agree to use the Services only for purposes that are permitted by (a) the Terms and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions (c) posted guidelines or rules that govern the use of particular Qpid Network owned or operated services.

    7.2  You agree not to interfere with or disrupt Qpid Network Services or the servers or networks connected to the Network, or disobey any requirements, procedures, policies or regulations of networks connected to the Services.

    7.3  You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purpose, any portion of Qpid Network Services, use of Qpid Network Services, or access to Qpid Network Sites.

  8. Privacy

  9. Changes to the Terms

    9.1  Any changes we make to the terms of use will be reflected on this page. You may bookmark this page and check it frequently for any notice of amendments / changes to the original Terms.

    9.2  You will be deemed to have accepted a variation if you continue to use the site after the new terms of use has been posted.

  10. Force majeure

    Although we will do our best to provide constant, uninterrupted access to Qpid Network Services, we do not guarantee this. We accept no responsibility or liability for any interruption or delay.

  11. General legal terms

    11.1  The Terms constitute the whole legal agreement between you and Qpid Network and govern your use of the Services, and completely replace any prior agreements between you and Qpid Network in relation to the Services.

    11.2  You may use a service which is provided by third parties linked to the Site. Your business dealings or correspondence with, or participation in events of third parties other than Qpid Network, and any terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. You may be subject to separate terms between you and the company or person concerned. If so, the Terms do not affect your legal relationship with these third parties.

    11.3  You agree that any action at law or in equity arising out of or related to the Terms shall be filed only in the Courts of Hong Kong Special Administrative Region, and that you hereby consent and submit to the exclusive jurisdiction and venue of such courts. No action arising under or related to the Terms may be brought by either party more than one year after the cause of action has occurred. This Terms is governed and to be interpreted by the laws of the Hong Kong Special Administrative Region.
